2. Scope and Applicability

These Terms of Service ("Terms") govern the use of our website and the provision of our services. By accessing our website or engaging with our services, you agree to be bound by these Terms.

Our services are provided exclusively to business customers (B2B). We do not offer services to consumers. By engaging with us, you represent that you are acting in a business capacity.

Mecanova UG (haftungsbeschränkt) provides the following services:

• Import and distribution of premium agave spirits (tequila, mezcal, raicilla)
• B2B partnership services for retail, hospitality, and wholesale partners
• Compliance and documentation services for European distribution
• Technology infrastructure and system integrations for distribution partners

4. Orders and Quotations

All orders are subject to our written confirmation. Quotations are non-binding and valid for the period stated, or 30 days if no period is specified.

Minimum order quantities (MOQ) may apply and will be specified in individual quotations or agreements. Orders below the MOQ may be subject to additional charges or may not be accepted.

5. Prices and Payment

All prices are stated in EUR and are exclusive of VAT, unless otherwise indicated. Prices are subject to change without notice, but confirmed orders will be honored at the agreed price.

Payment terms will be specified in individual agreements. Unless otherwise agreed, payment is due within the terms specified in the invoice.

6. Delivery and Shipping

Delivery terms, shipping methods, and delivery times will be specified in individual agreements or quotations. We are not liable for delays caused by circumstances beyond our reasonable control, including but not limited to force majeure, customs delays, or transportation issues.

Risk of loss and title to products pass to the buyer upon delivery to the carrier or designated delivery location, unless otherwise agreed in writing.

7. Product Specifications and Quality

We make every effort to ensure product quality and compliance with specifications. Product descriptions, images, and specifications are provided for informational purposes and may be subject to change.

All products are subject to availability. We reserve the right to substitute products of equivalent quality if the exact product is unavailable, subject to prior notification.

8. Intellectual Property

All content on this website, including but not limited to text, graphics, logos, images, and software, is the property of Mecanova UG (haftungsbeschränkt) or its licensors and is protected by copyright and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from any content on this website without our prior written consent.

9. Limitation of Liability

As a UG (haftungsbeschränkt), our liability is limited in accordance with German law. We are not liable for:

• Indirect, incidental, or consequential damages
• Loss of profits or business opportunities
• Damages exceeding the value of the specific transaction in question

This limitation does not apply to damages resulting from gross negligence, willful misconduct, or violations of essential contractual obligations (Kardinalpflichten), or to liability under the German Product Liability Act (Produkthaftungsgesetz).

10. Warranty and Returns

Warranty terms and return policies will be specified in individual agreements. In the absence of specific terms, statutory warranty rights under German commercial law apply.

Claims for defects must be notified to us in writing within the timeframes specified in individual agreements or, if not specified, within a reasonable time after discovery of the defect.

11. Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, government actions, or failures of suppliers or carriers.

12. Confidentiality

Both parties agree to maintain confidentiality regarding business information, pricing, and other proprietary information disclosed in the course of business relations, unless disclosure is required by law or with prior written consent.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

For disputes arising from or in connection with these Terms, the courts of Freiburg, Germany, shall have exclusive jurisdiction, unless mandatory statutory provisions require otherwise.

14. Dispute Resolution

In the event of disputes, we encourage parties to seek amicable resolution through direct communication. If disputes cannot be resolved amicably, they shall be subject to the jurisdiction specified in Section 13.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid provision that comes closest to the economic intent of the invalid provision.

16. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated to existing business partners. Continued use of our services after such modifications constitutes acceptance of the modified Terms.
